1. Purpose and scope
These Terms of Sale define the conditions under which French Global Pro offers and provides its services.
French Global Pro is the trading name of the sole proprietorship of Bertrand A. Viala, registered under SIREN 519 121 628, operating in business and management consulting.
These Terms apply to services offered by French Global Pro, notably: strategic consulting and international anticipation; country, risk and economic intelligence analysis; partner/supplier/distributor due diligence; Sentinel Sprint and anticipation programmes; market-entry and international development support; no-code, dashboards, CRM, workflows, databases and simple applications; professional training, workshops, conferences, keynotes; learning expeditions and field programmes; individual professional support; professional communication services, online presence, content, generative AI and related materials.
Services are intended primarily for professional clients (companies, executives, independent professionals, institutions, associations, training organisations, schools, firms, professional networks), and for individuals acting for professional, entrepreneurial, educational, institutional or skills-development purposes.
Services are not intended for purely personal, domestic or recreational needs. If a request were to fall under a consumer contract within the meaning of the French Consumer Code, French Global Pro reserves the right to refuse the service or to propose specific contractual conditions before any commitment.
2. No direct online sales
The website www.french-global-pro.fr is a presentation, information and contact site. No service is sold directly online. There is no payment module, basket, online order validation or automated transaction.
Submitting a contact form, an email or a request for discussion does not constitute an order. Each service is preceded by a discussion and, where applicable, by a quote, commercial proposal, purchase order, agreement or contract accepted in writing.
3. Contractual documents
The contractual relationship is constituted, as applicable, by: the quote or commercial proposal; these Terms; the purchase order, contract, convention or acceptance email; any special conditions; any confidentiality agreements or annexes.
In case of contradiction, special conditions expressly accepted in writing prevail over these Terms.
4. Quote, proposal and order
Every service is the subject of a quote or commercial proposal specifying, as applicable: context, scope, objectives, deliverables, indicative schedule, price, payment terms, confidentiality, additional costs and respective responsibilities.
An order is considered firm only after written acceptance by the client. French Global Pro reserves the right to refuse an assignment when scope, conditions, risk level, confidentiality, legal context or expectations do not allow satisfactory delivery.
5. Nature of services
French Global Pro delivers services of consulting, analysis, training, structuring, support, materials design, workshop facilitation, simple tools construction and production of operational deliverables.
Services may take the form of framing interviews, documentary analysis, summary notes, stakeholder/risk/dependency mappings, decision matrices, scenarios, operational recommendations, training materials, workshops or conferences, no-code dashboards or prototypes, roadmaps, oral or written debriefings, and recurring follow-ups.
Unless expressly stated otherwise, services do not constitute legal advice, financial advice, certified regulatory audit, private security services or any guarantee of commercial, financial, regulatory or operational result.
6. Obligations of French Global Pro
French Global Pro commits to delivering services with professionalism, diligence, confidentiality and loyalty, within the agreed scope. French Global Pro is subject to an obligation of means. Analyses, recommendations, scenarios and deliverables rely on information available at the time of the assignment.
French Global Pro does not guarantee the occurrence or non-occurrence of an event, winning a contract, signing a partnership, success of a market entry, absence of risk or absolute accuracy of third-party information.
7. Obligations of the client
The client undertakes to: provide accurate, complete and useful information; flag confidentiality, compliance, security, schedule or internal-procedure constraints; appoint a referent; facilitate access to people, documents or information; meet agreed validation deadlines; inform French Global Pro of any change affecting the assignment; and use deliverables within the agreed scope.
The client remains solely responsible for decisions taken following analyses, recommendations or deliverables provided.
8. Prices
Prices are stated in euros, before or including tax depending on the applicable tax regime and the mentions on the quote or invoice. Prices may be fixed-fee, daily, hourly, monthly or based on a specific scope.
Travel, accommodation, catering, room rental, translation, digital tools, third-party services, licences, subscriptions, data purchases or logistics costs are invoiced in addition when not expressly included in the quote.
9. Payment terms
Payment terms are specified in the quote, proposal or contract. Unless otherwise stated, French Global Pro may request a deposit at order, notably for consulting, training, workshops, learning expeditions, no-code services or significant preparation. Invoices are payable by bank transfer within 30 days of issue, unless otherwise agreed.
10. Late payment
In case of late payment by a professional client, late-payment penalties are due by right, without notice. Unless a different rate is stated, the rate is the ECB main refinancing rate plus ten percentage points, with a minimum of three times the legal interest rate.
Late payment also triggers the legal lump-sum fee of EUR 40 for recovery costs. Where actual recovery costs are higher, additional compensation may be requested on justification.
French Global Pro may suspend execution in case of late payment, after informing the client.
11. Delivery times
Delivery times mentioned in quotes, proposals or schedules are indicative unless expressly stated otherwise. Meeting deadlines depends on the availability of contacts, transmission of information, validation times, complexity of the assignment, travel or coordination constraints, and external events. Any delay attributable to the client may lead to an adjustment of the schedule and, where applicable, of the price.
12. Scope changes
Any change to the initial scope must be the subject of a written agreement. Additional work, deliverables, interviews, urgency or significant research may lead to an additional quote.
13. Cancellation, postponement and termination
Any request for cancellation or postponement must be made in writing. In case of cancellation by the client after acceptance, amounts corresponding to work already performed, reserved time, costs incurred and non-refundable expenses remain due.
In case of serious breach not remedied within a reasonable time after written notice, the other party may terminate the assignment, without prejudice to amounts due for services already delivered.
14. Training services
Training services may take the form of conferences, keynotes, workshops, half-days, days, learning paths, custom modules, individual coaching or team interventions. Objectives, audiences, formats, prerequisites, pedagogical methods, duration, language, materials and evaluation are specified in the quote, proposal or training programme.
Training materials are intended for internal or personal use within the assignment. They may not be reproduced, distributed, resold, modified or used to train third parties without prior written consent.
15. No-code services, digital tools and prototypes
For no-code services, dashboards, databases, workflows, automations, light CRM, portals, forms or prototypes, conditions of access, administration, hosting, maintenance, transfer and ownership are specified in the quote or a specific document.
Unless otherwise stated, licences, subscriptions, APIs, third-party services and technical costs required to operate the tools are borne by the client. French Global Pro cannot be held responsible for interruptions, pricing changes, limitations, service losses, security incidents or functional changes attributable to third-party platforms such as Make, Bubble, Airtable, Notion, Google, Microsoft, Mailjet, Supabase, Lovable or any other tool used with the client's consent.
Unless a specific maintenance contract exists, French Global Pro does not provide continuous maintenance, permanent monitoring, hosting or unlimited support of delivered tools.
16. Learning expeditions and field programmes
Learning expedition services may include programme design, speaker identification, brief preparation, meeting organisation, facilitation, coordination, debriefing and synthesis production. Transport, accommodation, catering, insurance, room rental, translation, interpretation, visits, external speakers or third-party providers are treated separately, unless otherwise stated.
French Global Pro cannot be held responsible for cancellations, delays, changes or unavailability attributable to third parties, local constraints, external events, social movements, security conditions, administrative decisions or any force majeure event.
17. Confidentiality
The parties undertake to strictly maintain the confidentiality of non-public information exchanged during the assignment, including strategic, commercial, financial, technical, organisational, operational, partner, supplier, client, project, internal data, materials, deliverables, analyses and preparatory exchanges.
A specific confidentiality agreement may be signed where the context requires. Confidentiality does not apply to information already public, lawfully obtained from a third party not bound by confidentiality, or whose disclosure is required by law, a competent authority or a court decision.
18. Intellectual property
French Global Pro remains owner of its methods, models, matrices, analysis grids, reasoning structures, materials, pre-existing content, presentations, tools, document templates, frameworks, know-how, prompts, information architectures, training materials and methodologies.
Unless otherwise agreed in writing, deliverables are granted for internal, professional, non-exclusive use limited to the scope of the assignment. Reproduction, external distribution, publication, substantial modification, resale, transfer to a third party, integration into a commercial offer or exploitation outside the agreed scope requires prior written consent.
The client retains ownership of the documents, data and information transmitted to French Global Pro.
19. Commercial references
Unless expressly authorised by the client, French Global Pro will not publicly mention the client's name, content of the assignment or confidential information exchanged. Any commercial reference, case study, quote, logo or testimonial is subject to prior written agreement.
French Global Pro may present anonymised, non-identifiable typologies of assignments, use cases or feedback, provided no confidential or identifiable information is revealed.
20. Personal data
Personal data processing carried out via the site or services is described in the Privacy / GDPR Policy accessible from the site. The client undertakes to transmit only the personal data necessary for the assignment and to inform data subjects where required.
21. Liability
French Global Pro's liability is limited to direct, certain and proven damages resulting from a fault attributable to French Global Pro in performing the service.
French Global Pro cannot be held responsible for: decisions taken by the client; economic, commercial, financial, reputational or operational consequences of a client decision; loss of operations, turnover or opportunity; data loss attributable to third parties; errors resulting from inaccurate or incomplete information provided by the client; geopolitical, regulatory, economic, security or technological changes after the assignment; acts or failures of third-party providers.
Save for gross negligence, wilful misconduct or mandatory legal provisions, total liability is limited to the amount excluding tax actually paid by the client for the relevant service.
22. Force majeure
Neither party will be held responsible for failure resulting from a force majeure event within the meaning of French law (natural disasters, war, health crisis, major transport disruption, cyberattack, administrative decision, external strike, widespread third-party service outage, major geopolitical event, or any unforeseeable, irresistible and external event preventing normal performance).
The parties will seek in good faith an adapted solution: postponement, schedule adjustment, scope change or partial termination.
23. Right of withdrawal
Services offered under these Terms are intended for professional clients or persons acting for professional purposes. The website does not allow direct ordering or online payment; sending a contact form alone does not constitute a contract and does not, in itself, open a right of withdrawal.
Where the client acts as a professional and the service falls within their professional activity, the consumer right of withdrawal does not apply. Certain professionals employing no more than five staff may, in cases provided by the French Consumer Code, benefit from a right of withdrawal where conditions are met; in such cases, withdrawal terms are stated in the quote, proposal or contract.
If a request were to fall under a consumer contract, French Global Pro reserves the right to refuse the service or propose specific contractual conditions.
24. Mediation
These Terms are intended for professional clients or persons acting for professional purposes. Consumer mediation does not therefore apply in this context. In case of dispute, the parties undertake to first seek an amicable solution.
25. Claims
Any claim regarding a service must be sent in writing to French Global Pro within a reasonable time. The claim must specify the client's identity, the relevant service, the date of the quote or contract, the facts complained of, supporting evidence and the request made. French Global Pro will respond within a reasonable time.
26. Applicable law
These Terms are governed by French law.
27. Dispute resolution
In case of dispute, the parties will first seek an amicable solution. For professional clients, any dispute regarding the validity, interpretation, performance or termination of these Terms will be submitted to the competent French courts, unless a specific jurisdiction clause is stated in the quote or contract.
28. Amendments
French Global Pro reserves the right to amend these Terms at any time. The applicable Terms are those in force at the date of acceptance of the quote, proposal or contract.
29. Partial nullity
If any clause is declared null, inapplicable or unwritten, the other clauses remain fully applicable.
